1. Acceptance of Terms

Welcome to One Million Cells (“we,” “us,” or “our”), accessible via the official website at https://1mcells.com. By accessing, browsing, interacting with the canvas, or purchasing cells as assets on the 1,000,000 cell grid, you (“User,” “Customer,” or “Owner”) agree to be legally bound by these Terms of Service.

If you do not agree to all terms and conditions set forth herein, you must immediately refrain from using the platform and purchasing cells.

You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase an asset. By completing checkout you represent that you meet this requirement and have the legal capacity to enter into this agreement.

2. Platform Description, Pricing & Digital Real Estate

One Million Cells is an interactive digital canvas containing exactly 1,000,000 coordinate cells organized in a 1,000 × 1,000 coordinate grid.

• Universal Pricing: Cells are sold as assets at a transparent, flat price of $1 USD per cell.
• Minimum Allocation: The minimum purchasable asset is a single cell at $1 USD; larger rectangular areas are also available at the same flat per-cell rate.
• One-Time Payment: Purchases are one-time payments for permanent ownership of digital space on the grid. There are no recurring subscription fees, hosting surcharges, or hidden renewal charges.
• Instant Digital Delivery: Upon successful transaction authorization, your asset image, custom link URL, title, and coordinates are immediately rendered on the living grid and distributed globally.
• One-Time Relocation: An owner may relocate a parcel once, for its lifetime, to an unoccupied and unreserved position of the same dimensions. The former coordinates become available to others. Relocation is subject to availability and the technical limits shown in the product.
• All Sales Final: Because assets are digital content delivered immediately, purchases are final and non-refundable. We do not offer voluntary refunds, cancellations, or returns; see our Refund Policy. Nothing in this section limits any non-waivable rights you have under applicable consumer law, or Waffo’s rights as Merchant of Record to reverse or refund a charge under card-network rules or its merchant terms. By completing checkout you consent to immediate delivery and acknowledge that you lose any statutory withdrawal right once delivery has begun or completed, to the extent permitted by law.

4. Content Standards & Prohibited Uses

You retain copyright and responsibility for any image, title, or hyperlink uploaded to your asset. You expressly represent and warrant that your asset content does not violate applicable laws or the rights of third parties.

One Million Cells reserves the right to immediately freeze, delist, or remove any asset found in violation of these standards without prior notice or liability, in accordance with applicable platform policies and Waffo Merchant of Record compliance guidelines. We may preserve relevant records and report illegal content, including CSAM, to law enforcement, the NCMEC CyberTipline, or other competent authorities. Accounts associated with serious or repeated violations may be suspended or terminated.

To report content, use the Report Content page or email abuse@1mcells.com. We are not obligated to monitor every asset, but we review reports and may proactively enforce these standards.

5. Intellectual Property & License Grant

By publishing an image and metadata on the grid, you grant One Million Cells a perpetual, worldwide, non-exclusive, royalty-free license to host, cache, render, display, and promote your asset within the grid canvas, leaderboards, and promotional snapshots.

The software, rendering algorithms, spatial chunk caching architecture, visual styling, and trademarks of One Million Cells are the proprietary property of the platform operators.

Copyright complaints and DMCA notices should be sent as described on our Report Content page. We may remove or delist allegedly infringing material and will terminate accounts that receive repeated substantiated infringement notices.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONE MILLION CELLS AND ITS OPERATORS, AFFILIATES, AND RESELLERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY.

7. Indemnification & Enforcement

You agree to indemnify and hold harmless One Million Cells, its operators, affiliates, and the Merchant of Record from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from content you upload, your violation of these Terms or applicable law, or your infringement of a third party’s rights.

We may investigate, suspend, delist, or terminate accounts; preserve and disclose records; and cooperate with law enforcement and safety organizations. Enforcement decisions are made in our sole discretion and do not create a refund entitlement.
